These Terms of Service ("Terms") are a binding agreement between you and NORVARCH ("NORVARCH", "we", "us", or "our") governing your access to and use of our website, quotation process, client portal, and related services (together, the "Services"). Please read them carefully. By using the Services, submitting a request, or creating an account, you confirm you have read, understood, and agree to these Terms.
1. Eligibility & authority
You must be at least 18 years old and have the legal capacity to enter into contracts. If you use the Services on behalf of a company, government body, or other organisation, you represent that you are authorised to bind that entity to these Terms, and "you" refers to that entity.
2. Acceptable use
You agree to use the Services lawfully and not to: (a) attempt to gain unauthorised access to any system, account, or data; (b) disrupt, overload, or interfere with the Services; (c) upload malware or unlawful, infringing, or misleading content; (d) misrepresent your identity or authority; or (e) use the Services to violate any applicable law or third-party right.
3. Quotations & enquiries
Information on the website, including service descriptions and indicative capabilities, is provided for general information only and does not constitute a binding offer. Any quotation we issue is an invitation to treat unless expressly stated otherwise, is based on the information you provide, and is valid only for the period and on the assumptions stated in that quotation. Estimated timelines and figures are indicative and may change following detailed scoping.
4. Contracts & order of precedence
Provision of any professional, engineering, construction, mining, energy, or consulting services is governed by a separate written services agreement, master agreement, statement of work, or purchase order (a "Services Contract"). In the event of conflict, the Services Contract prevails over these Terms with respect to that engagement. These Terms continue to govern general use of the website and portal.
5. Accounts & security
If you register for the client portal, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to use a strong password, enable available security features, and notify us promptly at info@norvarch.com of any suspected unauthorised use. We may suspend or terminate accounts that pose a security or compliance risk.
6. Payments
Where payment functionality is offered, payments are processed by third-party payment providers subject to their own terms and privacy policies. You are responsible for providing accurate billing information and for all applicable taxes, duties, and bank or processing fees. Unless a Services Contract states otherwise, invoices are due on the stated terms, and late amounts may accrue interest and collection costs to the extent permitted by law. Amounts paid are non-refundable except as required by law or expressly agreed.
7. Intellectual property
All content on the website, including text, graphics, logos, images, layout, and software, is owned by or licensed to NORVARCH and is protected by intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify, or create derivative works from our content without our prior written consent. Ownership of deliverables produced under a Services Contract is governed by that contract.
8. Third-party services & links
The Services may integrate or link to third-party websites, tools, or providers (for example, live chat, payment gateways, or mapping). We are not responsible for third-party content or practices, and your use of them is at your own risk and subject to their terms.
9. Compliance, sanctions & anti-corruption
You agree to comply with all applicable laws, including anti-money-laundering (AML), counter-terrorist-financing, export-control, sanctions, and anti-bribery and anti-corruption laws. You represent that you are not subject to sanctions and are not acting on behalf of a sanctioned person or entity. We may conduct compliance and due-diligence checks and may decline, suspend, or terminate any engagement to meet our legal and regulatory obligations.
10. Disclaimers
Except as expressly stated in a Services Contract, the website and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, timely, secure, or error-free, or that content is accurate or complete.
11. Limitation of liability
To the maximum extent permitted by applicable law, NORVARCH and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of the website or Services, even if advised of the possibility. Our aggregate liability arising from use of the website (as distinct from a Services Contract) will not exceed the greater of the amounts you paid to us for website-related services in the twelve months preceding the claim, or USD 100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as for death or personal injury caused by negligence, or for fraud).
12. Indemnification
You agree to indemnify and hold harmless NORVARCH and its affiliates from and against any claims, damages, losses, and reasonable expenses (including legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
13. Governing law & dispute resolution
These Terms are governed by the laws of the jurisdiction in which NORVARCH's contracting entity is established, without regard to conflict-of-laws rules, unless a Services Contract specifies otherwise. Where a Services Contract exists, its governing-law and dispute-resolution provisions (which may include arbitration) control for that engagement. Mandatory consumer-protection rights available to you under the law of your country of residence are not affected.
